Department Overview

The Legal department provides support for issues relating to laws and regulations, corporate policies, contracts, litigation, and more.

The Impact You Will Have

The Vice President & Associate General Counsel, who will report to the General Counsel, will provide legal counsel and advisory services, primarily focusing on corporate governance, federal securities laws, and mergers and acquisitions (M&A). The attorney will advise on federal securities disclosures, ensure compliance with SEC rules, NYSE listing standards, Sarbanes-Oxley requirements, and other corporate governance regulations, as well as oversee M&A activities. This role is part of a lean legal team supporting various corporate functions. The ideal candidate must have substantial experience in corporate governance and securities disclosure and the ability to develop expertise in other legal areas, including corporate credit facilities and similar agreements.

Primary Responsibilities

  • Advise on federal securities disclosures and ensure compliance with SEC rules and regulations, NYSE listing standards, and Sarbanes-Oxley and Dodd Frank Act requirements.

  • Provide counsel on corporate governance matters and best practices.

  • Oversee M&A transactions, including due diligence, negotiation, and integration.

  • Develop expertise in corporate credit facilities and related agreements.

  • Support various corporate functions with comprehensive legal guidance and stay updated on relevant legal and regulatory developments.

  • Provide senior management with effective advice on company strategies and their implementation.

  • Ensure the company conducts its business in compliance with applicable laws and regulations.

  • Structure, draft, and negotiate agreements such as confidentiality agreements, joint venture agreements, vendor contracts, and loan agreements.

  • Develop and document corporate policies, procedures, and programs.

  • Oversee the work of outside counsel as necessary.

Education and Experience

  • J.D. from an accredited law school.

  • Minimum of five (5) years of legal experience, and preferably at least two (2) years of in-house legal experience with public company reporting duties.

  • Extensive experience in SEC compliance, corporate governance, general securities, and M&A.

Knowledge, Skills, and Abilities

  • Demonstrated knowledge of public company reporting and compliance issues.

  • Experience in corporate governance and structuring, negotiating, and drafting commercial contracts.

  • Superior business acumen with the ability to balance legal issues with business objectives.

  • Effective communication skills with a variety of contacts, including outside attorneys, senior management, the board of directors, and business associates.

  • Outstanding interpersonal, communication, and business partnering skills.

  • High standards of integrity and good judgment.

  • Ability to show ownership of work, take on challenges, acknowledge growth opportunities, and demonstrate patience when learning new processes.

  • Courtesy, respect, and thoughtfulness in teaming with colleagues and other stakeholders.
