One of our favorite law firm clients is looking for corporate paralegal to join their office in suburban Maryland, just outside DC.

Our client is looking for an experienced Corporate and Securities Paralegal to join their team. You must have a minimum of 4 years of experience working on business transactions and private securities offerings, with a strong understanding of corporate/LLC laws and federal/state securities laws, as well as experience with corporate governance and regulatory compliance matters. Experience with federal and state tax filings and issues would be a plus. In this role you would be work closely with attorneys and clients in a fast-paced environment completing complex business transactions, with lots of training and opportunities for growth.

RESPONSIBILITIES
  • Assist in efforts for M&A and other business transactions, including organizing and managing data rooms, due diligence reviews, reviewing documents, preparing transactional documents and closing checklists, and assisting with the closing process.
  • Draft and review contracts, agreements, and other legal documents related to business transactions, commercial contracts, and corporate policies.
  • Prepare and submit federal and state "blue sky" filings in connection with securities offerings.
  • Prepare and submit Form ADV filings.
  • Assist with the maintenance of investment funds, including required filings, investor transfers and investor lists.
  • Provide support for corporate governance matters, including maintaining corporate records, drafting corporate resolutions, and preparing board meeting materials.
  • Assist with the preparation and filing of corporate and LLC documents, such as annual reports, formation documents, and other regulatory filings.
  • Conduct legal research and analysis on various business law issues, including securities regulations, corporate governance best practices, and compliance requirements.
  • Coordinate with clients, external counsel, and other professionals on legal matters, including transaction and investment fund closings, tracking deadlines, managing legal invoices, and facilitating communication.
  • Stay informed about changes in corporate and LLC laws, securities laws, and regulatory requirements, and assist in implementing necessary updates and changes.
  • Collaborate with cross-functional teams within the organization to ensure legal compliance and support client objectives.

EDUCATION AND EXPERIENCE

  • Bachelor's degree or equivalent experience required; paralegal certification preferred.
  • Minimum of 4 years of experience working as a business paralegal in a law firm or corporate legal department.
  • Strong knowledge of business law principles, including entity formation, business transactions, corporate governance, and securities laws and regulations.
  • Excellent organizational skills and attention to detail, with the ability to manage multiple tasks and deadlines effectively.
  • Proficiency in legal research and writing, with experience using legal research databases and tools.
  • Strong communication skills, both written and verbal, with the ability to interact professionally with internal and external stakeholders, including clients.
  • Ability to work independently and collaboratively within a team environment.
  • Proficiency in Microsoft Office suite and other relevant software applications.
  • Experience making filings through EDGAR and FINRA.
  • General familiarity with the Corporate Transparency Act.
