Department: Risk Management

Position Reports to: Chief Risk Officer

Position Supervises: No Direct Reports

Position Summary:

Responsible for all aspects of the independent internal audit function including development of risk assessments used to create the annual audit plan and overall audit program for the bank. Manage co-sourcing arrangement with outside internal audit firm and coordinates audit schedule. Develop, perform, and supervise audit testing procedures for audit areas.

Implements, directs, and monitors auditing policies, procedures, and standards. Manages directly and indirectly professional and administrative audit staff. The position is responsible for ensuring Internal Audit is closely aligned with industry best practices in executing the duties across the Companies business and financial operations. Works to ensure roles, responsibilities, and results are efficiently coordinated and collectively optimizing the effectiveness of risk management, control and governance of the company.

Duties and Responsibilities:

* Directs the overall operations of the internal audit department.

* Designs, establishes, and maintains an organizational structure and staffing to effectively accomplish the organization's goals and objectives; oversees recruitment, training, supervision, and evaluation of unit staff.

* Assesses departmental needs, establishes priorities for audit coverage, and develops short- and long-range audit plans; monitors and periodically reports status to the CEO and the board of directors.

* Coordinates and interacts with board of directors, executives and other staff, and with external audit; may also be required to interact with vendors doing business with the organization.

* Consults with and advises executive staff on operational and administrative issues.

* Coordinates and/or performs audit work, approves audit plans, reviews audit reports prior to formal release, and reviews supporting work papers to ensure reports are properly supported.

* Keeps abreast of the organizations policies and procedures, current developments in accounting and auditing professions, and changes in local, state, and federal laws, as applicable.

* Establishes and implements short- and long-range organizational goals, objectives, strategic plans, policies, and operating procedures; monitors and evaluates programmatic and operational effectiveness, and effects changes required for improvement.

* Develops and manages annual budgets for the organization and performs periodic cost and productivity analyses.

* Recommends and participates in the development of organizational policies and procedures; may serve on organization planning and policy-making committee

* Direct Internal Audit's change initiative by implementing action plans related to risk assessment and annual planning, audit execution, audit reporting, staff recruiting and development, audit technology, and Audit Committee reporting.

* Direct and oversee Internal Audit's annual risk assessment and planning process to develop the audit plan and ensure the plan is responsive to and aligned with the risk profile of the organization.

* Oversee the execution of individual audits defined in the audit plan ensuring the highest level of service quality and client satisfaction.

* Issue all Internal Audit reports ensuring the reports are clear, concise, identify root causes and appropriate recommendations.

* Meet regularly with the Audit Committee to report the status of Internal Audit's ongoing audit activities, educate/inform the committee of emerging risks and/or exposures (whether internal or external to the company) that should be considered, and serve as a "thought leader" with respect to internal control best practices.

* Proactively inform executive management of significant risks or exposures related to internal controls, compliance, and/or governance requiring prompt attention.

* Perform Internal controls assessments of acquired companies or joint venture

* Manage the process to track, follow-up, and ultimately resolve all open audit issues including validation testing

* Actively participate in executive management meetings and/or committees to ensure that Internal Audit is well-informed of key business developments that could have an impact on audit priorities and/or plans

* Ensure that Internal Audit is performing its work in accordance with established professional standards and remain abreast of emerging trends and best practices that can be incorporated into the function.

* Oversee Internal Audit's participation in critical business and technology initiatives and projects ensuring that audit's perspective is effectively voiced and appropriate controls are designed and implemented on a proactive basis.

* Coordinate the activities of external auditors with relative to leveraging the work performed and results produced from Internal Audit's work.

* Other duties as assigned.

Education, Certification, License and Experience:

* Bachelor's degree in Accounting & Finance or other closely related field

* Certified Internal Audit (CIA) or Certified Public Accountant (CPA) preferred

* 8 or more years' experience in auditing or accounting; 5 years in a Management role

Skills and Knowledge:

* Ability to plan, organize, coordinate, and direct a comprehensive internal audit function in a public institutional setting.

* Ability to communicate effectively, both orally and in writing.

* Skill in examining and re-engineering operations and procedures, formulating policy, and developing and implementing new strategies and procedures.

* Ability to establish, implement and evaluate short- and long-range audit plans.

* Ability to supervise and train employees, to include organizing, prioritizing, and scheduling work assignments.

* Responsible for knowing and ensuring compliance with applicable laws, regulations and guidelines, as detailed in policies that include but are not limited to SOX, Bank Secrecy Act and other applicable anti-money-laundering rules, Right to Financial Privacy, Fair Lending, Community Reinvestment Act, Gramm-Leach-Bliley Act, and other laws and regulations as they pertain to the position.

Work Environment:

This job operates in a professional office environment. Work is normally performed in a typical interior work environment which does not subject the employee to any hazardous or unpleasant elements.

Physical Requirements:

The physical demands described here are representative of those that must be met by an employee to successfully perform the essential functions of this job. While performing the duties of this job, the employee is regularly required to speak or hear, stand or sit for long periods of time, open filing cabinets, walk, stoop or bend, use hands to handle or feel and reach with hands and arms. The employee must frequently lift and/or move up to 10 pounds, occasionally lift and/or move up to 25 pounds and complete tasks requiring manual dexterity. Ability to drive a vehicle for travel is required for the position.
