A Day in the Life:

In your role as a Corporate Securities Paralegal, you will undertake a wide array of tasks to support our attorneys in navigating the complex landscape of corporate and securities compliance. Your responsibilities will include:

  • Researching federal and state laws related to corporate and securities compliance.
  • Preparing and filing key regulatory documents, including Regulation D forms, blue-sky notices, and applications for access across both federal and state departments.
  • Filing SEC Forms 3 and 4 for insider trading compliance and reporting.
  • Establishing corporations, limited liability companies (LLCs), and other corporate entities, particularly in Delaware.
  • Securing Employer Identification Numbers (EINs) from the IRS.
  • Drafting ancillary documents critical to company start-ups.
  • Managing and updating company records and stock issuances on the Carta platform.
  • Qualifying companies to operate in foreign jurisdictions as needed.
  • Liaising effectively with various federal and state jurisdictions to ensure compliance and address any regulatory inquiries.

This position requires meticulous attention to detail, strong organizational skills, and the ability to handle multiple projects simultaneously while meeting stringent deadlines.
