The Director of Contracts is a seasoned professional with extensive experience in US Government contracting. They excel in communication, leadership, and legal expertise, overseeing the full contract lifecycle, collaborating with stakeholders, and ensuring compliance with regulatory requirements. Responsibilities include contract negotiation, subcontractor management, legal counsel provision, and regulatory compliance planning. This role requires a proactive approach to problem-solving, meticulous attention to detail, and the ability to drive organizational efficiency while maintaining high ethical standards.

Responsibilities

  • Provide end-to-end support throughout the contract lifecycle, including managing multiple bid opportunities, contributing to proposals, negotiating contracts, and administering resultant contracts, task orders, and modifications.
  • Manage Mentor Protge Joint Ventures (JV) Agreements, negotiating contract terms with JV partners, ensuring compliance with work distribution requirements, and administering contracts.
  • Collaborate with subcontractors to solicit proposals, negotiate subcontract terms, and administer subcontracts effectively.
  • Draft and negotiate Teaming Agreements, Non-Disclosure Agreements, Consultant/Agent Agreements, and other partner documents as necessary on a timely basis.
  • Work closely with Program Managers to review contractual terms, identify risks, provide alternate terms and conditions, and ensure adherence to contract requirements to mitigate program performance risks.
  • Lead contract strategy meetings to identify client requirements, facilitate discussions, and obtain senior management input on timelines and deliverables.
  • Ensure compliance with contractual requirements within delivery teams, provide guidance on contractual issues, and develop internal governance policies and compliance monitoring frameworks.
  • Provide accurate and timely legal counsel to executives on a variety of legal matters including labor law, joint ventures, protests, corporate law, contractual rights and commitments, and interpretation of contract terms and conditions.
  • Assist in planning and scheduling contract and regulatory compliance activities, including internal and external reviews and audits conducted by agencies such as GSA and DCAA.

This position requires strong communication, leadership, legal expertise, and regulatory proficiency, while expanding on responsibilities to provide a comprehensive overview of the role's requirements and expectations.

Qualifications

  • Ability to effectively engage with internal and external stakeholders, facilitating collaboration across organizational lines, and adept at articulating complex or contentious topics to C-suite executives.
  • Demonstrates meticulous attention to detail and strong research skills, ensuring accuracy and completeness in contract management and compliance.
  • Demonstrates a track record of initiating and successfully implementing innovative ideas to enhance organizational efficiency and support strategic business objectives.
  • Possesses excellent knowledge and understanding of corporate law and procedures, ensuring adherence to legal requirements in contract negotiations and management.
  • Capable of working efficiently both independently and collaboratively within group settings, adept at managing short- and long-term goals to drive results.
  • Maintains and promotes a high ethical standard of practice in all contractual and business dealings.
  • Bachelor's degree with over 15 years of experience in U.S. Government contracting, including significant experience as Contracts lead at a large ($200M+) professional services government contractor.
  • Thorough working knowledge of the Federal Acquisition Regulation (FAR), Defense Federal Acquisition Regulation Supplement (DFARS), and other relevant regulatory supplements.
  • Must be a US Citizen and the ability to obtain a Secret security clearance or higher if needed.
