Posted Friday, February 2, 2024 at 5:00 AMThe General Counsel for the Conference of State Bank Supervisors (CSBS) leads the Office of General Counsel in providing legal guidance across the full range of activities and initiatives of CSBS and its corporate affiliates and subsidiaries. The General Counsel serves as a strategic partner with all CSBS Business Units to ensure and support execution of organizational strategies and priorities in compliance with federal, state, and local laws and with CSBS corporate governance policies and requirements. The General Counsel is responsible for leading enterprise legal initiatives in strategic areas including privacy, enterprise risk management, and procurement/contract management. The General Counsel provides legal advice to the CSBS Board of Directors on matters within the Board s duties and responsibilities.Essential Functions

The General Counsel is a member of the Executive Leadership Team (ELT) reporting to President and Chief Executive Officer.People Management.

At CSBS, People Managers lead and engage staff to maximize organizational performance. Understanding and implementing the organization s strategies, people managers lead their teams through change with a focus on CSBS s mission and vision and a commitment to our VIBE.People managers actively participate in the growth and development of their teams delegating responsibility effectively and providing timely and actionable feedback on performance.Responsible for planning and organizing their team s activity, people managers are also responsible for creating a positive employee experience while developing high-performing and innovative teams.The General Counsel supervises a team of professional staff responsible for:Legal support across corporate business and public policy activities,Organization-wide procurement and contracting,Corporate governance and CSBS Board operations, andCorporate Legal Advice and Support. Serve as key legal advisor on major business initiatives and transactions, including:Reviewing, drafting, and negotiating contracts and agreements,Overseeing all litigation related to CSBS and its affiliates and subsidiaries,Advising on legal aspects of the company s structure, including assessing and advising on current and future business structures and legal entities, andOverseeing the selection, retention, management, and evaluation of all outside counsel.Policy Legal Advice and Support.

Provide legal counsel on:

State and federal legal and legislative developments,Interstate and State-federal cooperative agreements and Memoranda of Understanding, andLegal implications of public policy developments and initiatives affecting state-regulated financial services.Serve as the staff lead on development of amicus curiae briefs on issues of interest to State financial services officials.Serve as the staff lead for any CSBS staff, member, or interagency legal affairs committees such as the SRR Lawyers Committee.Board Operations and Corporate Governance.In coordination with the CSBS elected leadership, the CEO, and CSBS executive leadership, responsible for CSBS Board and Executive Committee operations and for ensuring effective and consistent corporate governance operations across other governing Boards, andSupports development and maintenance of corporate governance policies, procedures, and programs for CSBS and its corporate affiliates and subsidiaries.Enterprise Operations.

Centralized procurement function,Enterprise risk management function, andCorporate privacy program and compliance.

Serve as a strategic partner with all CSBS Business Units to ensure and support execution of organizational strategies .Oversees:Minimum QualificationsTo perform this job successfully, an individual should possess the knowledge, skills, and abilities listed and meet the amount of education, training and/or work experience required.Education and Experience

Juris Doctor degree from an accredited United States law school.License in good standing with the District of Columbia bar.Minimum of ten (10) years relevant legal and public policy experience, including work with nonprofits.Banking and financial services experience preferred.Knowledge, Skills, and Abilities

Exposure to and/or familiarity with the following areas of law: tax, nonprofit, corporate, contract, employment, lobbying.Ability to direct and manage multiple projects and staff in a fast-paced, deadline-driven environment.Understanding of 501(c) organizations and regulations regarding state instrumentalities.The ability to speak so that you are heard and write so that you are read. Consultative working style, able to listen reflectively and to effectively interface with various parts of the organization with different goals and communication styles.Commitment to the mission of CSBS.RequirementsDue to the nature of CSBS s business in support of state financial services supervision, all CSBS employees have the potential of interacting with confidential information related to the supervision of financial services companies ( Confidential Supervisory Information ).
